KINCARDINE TRIATHLON CLUB CONSTITUTION

TITLE:  The name of the club is the Kincardine Triathlon Club.

OBJECTIVES:  To foster and promote triathlon as a sport and pastime, and to promote competitive and recreational events for Club Members.

OFFICERS:  The officers shall be elected by nomination or acclamation and a vote of ballots cast by a majority of current Club members at the Annual General Meeting.  The term of office shall be one year.  President can serve a maximum of 3 consecutive years in the role of President. The Past President will remain on the executive for a further term of one year.

DUTIES OF OFFICERS:

PRESIDENT:  To direct the activities of the Club.  To Act as chairperson, or appoint a chairperson for all executive and general meetings.  To be an ex-officio member of every committee in order to provide that committee with any requested guidance.  With the exception of training or scheduling information, the President shall review all mail to be sent to the general membership prior to its posting.

PAST PRESIDENT:  To provide continuity and mentoring to elected executive. To perform duties of President in the absence of President and Vice-President.

VICE-PRESIDENT:  To perform the duties of the President in the absence of the President.  To co-ordinate community-based special events.

SECRETARY-TREASURER:  To keep the minutes of all meetings, and attend to the correspondence of the Club.  To attend to all financial matters of the Club.  To prepare and sign all cheques for disbursement of Club Funds.  To provide an annual financial statement and to table that statement at the Annual General Meeting.

EVENT CO-ORDINATOR:  To attend to all matters concerning the event schedule in the Calendar of Events, including timing records. To update the Club’s website in co-ordination with the web author.

MEMBERSHIP CO-ORDINATOR:  To maintain accurate records of all members in good standing and provide a mailing and contact list. To ensure all Club Members are OAT members in good standing. To encourage participation in Club events through contact with club members and the community. 

COACH:  To provide Club members with general training and guidance in all facets of the sport of Triathlon.
ANNUAL GENERAL MEETING:

Shall be held each year for the purpose of electing officers, amending the constitution, by-laws and rules, and for discussing general business.

The meeting shall be chaired by the President, or in his/her absence, the Vice-President.

The meeting shall be conducted in an organized manner using parliamentary etiquette.  Motions may be presented by any member, and if seconded, these motions will be discussed and a vote will take place.

GENERAL MEETING:

At least one additional general meeting will be held during the year at a date to be determined by the Executive.

VOTING MEMBERS:

Members in good standing are those members who have paid their dues up to date and who have had an application accepted by the Club Secretary-Treasurer.  All single members and each individual family member must complete an application form and sign the waiver attached.  All members are entitled to vote at the General Meetings.  Members may request to attend Executive Meetings to provide information to the Executive but may not vote at these meetings.  Members may volunteer for work on committees where they may vote.  All committees will be chaired by a member of the Executive and chartered by the Executive Committee.

MEMBERSHIP DUES:

Changes to the membership dues will be recommended by the Executive when, in their opinion, changes in fee structures are required for the proper functioning of the Club.  Changes will take affect only after the majority of members who cast their ballots at a General Meeting have voted to endorse the new fees.

In recognition for outstanding contribution to the Club, the Executive may grant members an Honorary Club Membership (number of years to be determined on a case-by-case basis).  The Secretary-Treasurer will maintain a list of all Honorary Members.

ELECTIONS:

Nomination of a member for an elected position must be made by a member and must be seconded by another member.  The nominee must also be willing to run for the position.  Each eligible member present at the Annual General Meeting may have one vote for the election of each position for which a vote is being cast.


CLUB ASSETS:

Upon dissolution of the Club, any assets shall be converted to cash, and in this form all assets shall be divided equitably among all members.  If a majority of members are in favour, the proceeds may be donated to a charity

AMENDMENTS TO THE CONSTITUION:

Any member may initiate a constitutional amendment by providing a copy in writing of the proposed amendment with the members signature, and also containing the signature of another member who seconds the amendment, to the Secretary-Treasurer at least 30 days prior to a scheduled General Meeting.  The Executive may agree to the amendment in a form which is acceptable to the person who has proposed the amendment at the next General Meeting.  The Executive may choose to support, or to oppose any such amendment.  The decision on whether to accept the amendment will be based on a majority of votes cast by the members present at the General Meeting where the amendment is tabled.

EXECUTIVE QUORAM:

A quorum is a simple majority of the Executive (4).  A quorum of the Executive must be present before an Executive Meeting can proceed.  The absent members of the Executive must be aware of the intention to hold a meeting before any Executive Meeting can proceed, unless the meeting is declared an Urgent Meeting by the President or his representative.

MEMBERSHIP FEES:

 

Membership fees will be paid annually.  This entitles members to participate in Club events. 

 

Membership fee renewals will be due March 1st of each year and may be delivered to members of the Executive.  Executive Officers will immediately deliver any applications and fees received to the Secretary-Treasurer.  Payment may be made by cash or cheque.  Cheques will be made payable to “Kincardine Triathlon Club.”

 

Each year an “Application of Membership” must be completed.  The “Application of Membership” includes a waiver which must be signed by all applicants.  Each family member must complete his/her own application and sign the waiver individually.

 

Membership Fees will be reviewed annually by the Executive Committee.  Changes may be recommended by the Executive to the General Membership at a General Meeting and will take affect only after a majority of members present at the meeting endorses the new fee.

 

 

NEW MEMBERS AND OCCASIONAL PARTICIPANTS:

 

New members and occasional participants or visitors will be allowed participation in 3 Club events before they will be required to pay membership fees.  For reasons of safety and insurance visitors wishing to participate in Long Bike Rides must be a member in good standing of OAT.  After the 3rd Club Event, the participant will be asked to join the Club.

CLUB EVENTS:

 

It will be the responsibility of the Executive to ensure that all activities listed in the Calendar of Events are attended by a member of the Executive or a Club Member delegated by the Executive. 

 

Activities listed in the Calendar of Events may be cancelled due to weather conditions or extenuating circumstances.  Such cancellation will be sent where possible to Club Members via E-mail.
